SUTTON COLDFIELD SUB-AQUA CLUB

RULES AND BYE-LAWS

TITLE                

The title of the Branch shall be the Sutton Coldfield Sub-Aqua Club that shall be affiliated to the British Sub-Aqua Club as the Sutton Coldfield Branch of that Club and shall operate in accordance with the rules and regulations of the British Sub-Aqua Club, which may be enhanced from time to time

OBJECTS          

The objects of the Club shall be those of the British Sub-Aqua Club (hereafter referred to as the BSAC) and in particular to promote Friendship among members of the Club through it’s swimming and diving activities

RULES              

These Rules and Bye-laws are subject to any formulated under General Rule No.16 of the BSAC, which states “No alteration of substance shall be made to regulations governing diving qualifications and standards unless previously discussed and approved at a meeting of diving officers to which all branches shall be entitled to send representatives”.

Members applying for a new or renewed membership of the Branch (anyone having direct contact with children and/or vulnerable adults) will be required to give their permission for their criminal record to be checked through the Criminal Record Bureau. Original results will be sent to the member in question. A copy will be sent to the BSAC Welfare Officer, or other nominated person, who will then provide a yes/no answer to the question:

“The applicant will have significant contact with children and vulnerable adults. Is there anything within this person’s criminal record that suggests that they are not suitable for BSAC membership?”

MANAGEMENT

The elected officers of the club shall be: Chairman, Secretary. Treasurer, Diving Officer, Assistant Diving Officer, Training Officer, Expedition Officer, Boating Officer, Equipment Officer and Public Relations/Welfare Officer.

Election shall be decided by a majority vote at the A.G.M. None of these, the same person shall hold offices for more than 3 years consecutively, unless proposed and voted upon at the A.G.M.

The committee shall be empowered to appoint sub-committees from time to time in connection with specific affairs of the club and for the purpose may co-opt members who may not be members of the committee to serve on a sub­committee.

The membership of all committees shall terminate at the A.G.M.

The committee shall be empowered to elect an Honorary President, the President need, not be a full diving member of the club.

MEMBERSHIP

There shall be 4 classes of membership:

Full membership for which, any person of the age of 15 and over shall be eligible, this will include membership of the B.S.A.C.

Abated membership available - see Club Secretary for details.

Social membership, which is intended for spouses or Children of club member or one such person as they may nominate with the approval of the committee. Such members shall not he entitled to use breathing sets and will not be members of the B.S.A.C

 

Honorary membership, for which any person shall be eligible and which shall be for such period as the invitation to accept such membership will state.

Members other than honorary members shall be such persons who shall apply with the appropriate subscriptions as agreed.

ANNUAL GENERAL MEETING

A General Meeting of the Club, called the Annual General Meeting shall be held in the last quarter of each year at which a quorum shall be 10 full members. All the classes of members shall he entitled to attend and speak at the Annual General Meeting but only Full Members shall be entitled to vote on any motion put before the meeting by the Chairman 

The Secretary shall give not less than 21 days notice of the Annual General Meeting by advising the time, date and place at which it is intended to hold the meeting, to each Full Member by letter and by affixing a notice giving these details to the notice board situated at the place where the Club may, from time to time be holding its weekly activities 

 

The Chairman shall report to the members of the activities and affairs of the Club and the Secretary and Diving Officer shall also make their reports to the members. 

 

The Treasurer shall report to the Club on the state of its finances and shall account to the members for the income and the expenditure of the club since the last Annual General Meeting and shall answer any questions from members, which the Chairman may allow on the accounts and finances of the Club. 

 

Any member may raise any other matter and may address questions to any Officer of the Club, which the Chairman, at his absolute discretion may allow. 

 

Any motions to be raised must be advised to the Secretary not less than 14 days before the Annual General Meeting

EXTRAORDINARY GENERAL MEETING

Any other General Meeting of the Club shall be known as a Extraordinary General Meeting and shall be called by the Secretary by pinning a notice to the notice board situated at the place where the Club from time to time holds its weekly activities, giving the time, date and place at which It is intended that it shall be held, giving not less than 14 days notice of the meeting. This meeting shall be called at the request of the Committee or on receipt by the secretary of a request for such a meeting signed by not less than 10 full members and any such request shall give details of the purpose for which the meeting is requested and such details shall be incorporated in the notice of the meeting which is issued by the Secretary. 

The business of an Extraordinary General Meeting shall be that’ for which it is called and no other.

 

All classes of members shall be entitled to speak at a Special General Meeting, but only full members shall on entitled to vote on motion put before the meeting by the Chairman.

CHAIRMAN

The Chairman of the Club shall be the Chairman of all meetings of the Club during his tenure of office, whether these are Annual General, Special General or Committee Meetings. In the absence of the Chairman, the Chair shall be taken by the Secretary, or in the Secretary’s absence by any full member who shall be elected for the purpose by a majority of those present and will.

OFFICERS

The Duties of the Officers of the Club shall, in general, be those for which they were elected at the Annual General Meeting, but the Committee may from time to time vary or add to the duties of any Officer or co-opt an assistant for any Officer from amongst the members of the club. Such an assistant shall not have the right to vote in Committee unless formally appointed to the Committee by the Club in General Meeting.

THE COMMITTEE

The Committee shall be those full members elected to office or Committee membership by the Club in General Meeting and the Honorary President. Election of the Committee members shall be by ballot, it shall be the duty of the Committee to serve and manage the affairs of the Club in the interests of the membership as a whole, under the terms of these Rules and Bye-laws and the Rules of the B.S.A.C. The Committee shall have the power to co-opt a full member of the Club to serve on the Committee, or as an Officer of the Club in order to fill a casual vacancy, but a such member co-opted shall only serve until the next Annual General Meeting of the Club unless the appointment is confirmed by the Club in a General Meeting. A Quorum of Committee shall be five members and the Committee shall have the right to replace any Committee member absent for three consecutive Committee Meetings. There shall be no voting by proxy. All nominations for committee positions must be presented to the Secretary before the Annual General Meeting, none shall be accepted in the meeting.

The full Committee shall have the right to terminate the membership of any person who is reported to have mis-behaved, provided that their decision is unanimous i.e. two thirds vote. All officers shall be voluntary (i.e. unpaid)
